What it does

Most inbound MSAs are vendor-paper variants of the same dozen-or-so clauses — term, liability cap, indemnity, IP, payment, termination, data-protection, governing-law. The colleague reads the MSA, compares each clause against your playbook in Notion, and ships a one-pager listing every deviation: severity, quoted language, and the counter-edit to send back. Most MSAs land back at counsel with a ready-to-send markup in under a minute.

How it works

  1. Parse. Pull the inbound MSA from DocuSign, OCR if needed, segment into named clauses.
  2. Check. Match each clause against the playbook in Notion. Grade severity, quote the offending language, and propose counter-edits.

Setup

  • Connect DocuSign to read inbound envelopes.
  • Connect a docs tool (Notion, Google Docs, or Coda) holding the clause playbook.
  • Configure the playbook entries — one per clause with the preferred language and acceptable fallbacks.

Variations

  • Auto-draft the redline directly in DocuSign instead of returning a one-pager.
  • Skip review for renewal MSAs that match the prior signed version verbatim.
